| 内容記述 | バブル経済崩壊後、企業の不祥事、事業の再編成等、企業経営は重大な局面を迎えている。現在、企業のあり方をめぐってコーポレート・ガバナンスに関する議論が活発化しているが、コーポレート・ガバナンスに関する議論の核心は、企業の帰属主体は誰なのか(会社主権論)、企業の管理・運営機構のあり方はどうあるべきなのか(経営モニタリングシステム論)という点にある。そこで、ステークホルダー(株主、債権者、経営者、従業員、コミュニティー)間の利害調整を行い、企業の管理・運営機構を通じてコントロールすることができる制度について、諸外国の法制度を比較検討し、日本における会社制度のあり方を考察することが本稿の目的である。筆者としては、利害調整を行うべき経営モニタリングシステムの役割を果たす監査役として、株主、従業員、コミュニティーなどの代表者が参加できる制度を立法化すべきであると考える。 | |||||

| 内容記述 | The management of a company is confronted with scandals and corporate restructuring after the collapse of the bubble economy. The argument within corporate governance on the way a company ought to be becomes heated. The debate turns on two questions: "Whose company is it?" and "What should the company look like?" Accordingly, an ideal system is presented, taking into consideration the interests of various parties (stockholders, creditors, managers, employees, the community) as well as an ideal system for management and oper ations. Furthermore, this paper proposes the way a company ought to be in Japan, and compares the Japanese system with systems of companies in foreign countries. Auditors should take into consideration the interests of various parties; and delegates of various parties should participate in the monitoring system. | |||||
