 note = {最近、わが国において、執行役員制度を導入する企業が相次いでいる。しかし、わが国の商法には、執行役員制度の明文規定が存在しない。そこで、本論文では、執行役員制度の法律(商法、労働法、税法)上の問題点を研究し、アメリカ合衆国の法制度との比較検討を行い、執行役員制度のあり方を考察することを目的とする。筆者としては、執行役員を代表取締役の指揮監督の下で業務執行を行う使用人として位置付けることが重要なポイントであると考える。, Many Japanese companies have recently introduced the executive officer system. However, no articles on Japanese commercial law relevant to the executive officer system exist at present. Accordingly, this paper studies legal problems in the areas of Commercial Law, Labor Law and Tax Law, compares the Japanese system with that used in the United States of America, and proposes a system more appropriate to Japan. One crucial point in the author's opinion is that officers work directly under the representing director.},
